Sourcing City Supplier Platform Terms & Conditions

These Supplier Platform Terms & Conditions ("Terms") govern the use of the Sourcing City platform and associated services by suppliers ("Supplier", "you", "your").
By accessing or using the Sourcing City platform, you agree to these Terms.
1. About Sourcing City
Sourcing City is a B2B promotional merchandise platform operated by Dynamic Image Ltd trading as Sourcing City ("Sourcing City", "we", "us", "our").
Dynamic Image Ltd is registered in England and Wales, company registration number 4595360, registered office The Hub, Fowler Avenue, Farnborough, Hampshire, GU14 7JP.
The platform connects suppliers and distributors within the promotional merchandise industry and provides associated technology, data, marketing, media, reporting, and event-related services.
Where you use our services as a distributor or subscribing customer rather than as a supplier, the Sourcing City Distributor Terms & Conditions apply to that use.
2. Platform Services
Sourcing City may provide suppliers with access to services including, but not limited to:
- Supplier's own product listings
- Distributor enquiry generation
- Dynamic Highway integrations
- Live pricing and stock visibility
- Reporting and analytics
- Advertising and promotional services
- Website integrations
- Marketplace and sourcing functionality
- Event participation and exposure opportunities, including Merchandise World
Services may evolve or change over time.
3. Supplier Responsibilities
Suppliers agree to:
- Provide accurate and up-to-date product and company information
- Maintain appropriate rights to all uploaded content and imagery
- Ensure pricing and stock information is maintained where integrations exist
- Comply with all applicable laws and regulations
- Maintain appropriate product compliance and safety obligations
- Act professionally and in good faith toward distributors and platform users
Suppliers remain solely responsible for:
- Product accuracy
- Pricing
- Stock availability
- Fulfilment
- Legal compliance
- Customer service and contractual arrangements entered into with distributors
4. Distributor Enquiries & Data Usage
Where distributors submit enquiries relating to supplier products or services, Sourcing City may share relevant distributor information with the applicable supplier.
This may include:
- Company name
- Contact name
- Email address
- Telephone number
- Enquiry details
- Product interest information and related engagement activity
Suppliers agree that:
- Such information will only be used for legitimate business purposes connected to the enquiry
- Personal data will be processed in accordance with applicable UK data protection legislation
- Distributor information will not be sold, transferred, or misused
- Reasonable security and confidentiality measures will be maintained
Suppliers must not use distributor data for unlawful spam or unrelated marketing activity.

5. Data Protection
In relation to distributor enquiry and engagement information shared under these Terms, each party acts as an independent data controller. Neither party acts as the other's processor in relation to that information.
Sourcing City is the controller of the personal data we hold about your business and your personnel in connection with your account, your listings, our marketing and your participation in our events. How we handle that data is set out in our Privacy Policy, which is the authoritative explanation of our personal data processing and should be read alongside these Terms.
Where we agree to provide a service under which we process personal data on your instructions rather than for our own purposes, separate written data processing terms will apply to that service.
Each party agrees to comply with applicable UK GDPR and data protection legislation.
Suppliers are responsible for their own internal data handling, retention, security, and compliance obligations, including providing appropriate privacy information to the individuals whose data they receive through the platform, and responding to those individuals when they exercise their rights.
If either party becomes aware of a personal data breach affecting personal data shared under these Terms, it will notify the other without undue delay and provide the information reasonably needed for the other to meet its own obligations.
6. Intellectual Property
Suppliers retain ownership of their own trademarks, logos, product data, and content.
Suppliers grant Sourcing City a non-exclusive licence to:
- Display
- Reproduce
- Distribute
- Promote and use supplier content within the operation and marketing of the platform and associated services.
Suppliers confirm they hold appropriate rights to all uploaded materials.
7. Reporting & Analytics
Sourcing City may provide suppliers with reporting, analytics, engagement metrics, enquiry activity, and related commercial insights connected to their products and platform activity.
Reporting may identify individual distributor contacts by name where those contacts have actively engaged with your products or content. Reporting is limited to activity relating to your own listings, and you receive it subject to the obligations in section 4.
Such reporting is provided for business intelligence purposes only.
Sourcing City does not guarantee enquiry volumes, sales outcomes, or commercial performance.
8. Availability of Service
Sourcing City will use reasonable efforts to maintain platform availability but does not guarantee uninterrupted access.
The platform and services may occasionally be modified, suspended, updated, or unavailable for maintenance or operational reasons.
9. Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to that, and to the maximum extent permitted by law, Sourcing City shall not be liable for:
- Indirect or consequential losses
- Loss of profits
- Loss of business opportunity
- Loss of data
- Platform downtime or disputes between suppliers and distributors
Total liability relating to platform services shall not exceed the fees paid by the supplier to Sourcing City during the preceding 12 months.
10. Suspension & Termination
Sourcing City reserves the right to suspend or terminate supplier access where:
- These Terms are breached
- Unlawful activity occurs
- Platform integrity is compromised
- Supplier behaviour risks reputational damage
- Payment obligations are not met
Suppliers may terminate participation subject to any applicable commercial notice periods or agreed advertising commitments.
11. Changes to Terms
Sourcing City may update these Terms periodically.
We will publish the updated Terms with a revised effective date and version number. Where a change is material, we will give at least 30 days' notice by email or by notice within the platform before it takes effect.
If you do not wish to accept a material change, you may terminate your participation by giving notice before the change takes effect, subject to any advertising or event commitments already agreed. Where you have paid in advance for a period extending beyond that date, we will refund the unused balance.
Continued use of the platform after a material change has taken effect, having received notice of it, constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
